1. Parties & Scope
1.1 Who's Involved
Scroll, we, us — Lede AI Limited, incorporated in England and Wales, the company that operates the Scroll platform.
You — the individual using a Scroll-powered agent. These End-User Terms are a direct agreement between you and Scroll.
The Operator — the company or individual who built and deployed the agent you are using. The Operator is Scroll's customer.
These terms apply to any Scroll-powered agent, regardless of which channel or product surface you are accessing it through, including web chat, Slack, browser extension, or others.
1.2 Your Agreement with Scroll
By using a Scroll-powered agent, you agree to these End-User Terms with Scroll.
If you do not accept these terms, you must not use the agent.
1.3 The Operator's Role & Terms
The Operator may present its own terms of service, policies, notices, and privacy disclosures relating to the specific agent. Those materials govern your interaction with that agent as between you and the Operator.
Where the Operator states that use of the agent constitutes acceptance of those materials, you agree to them by using the agent.
As between Scroll and the Operator, the Operator is responsible for the agent's content, knowledge sources, configuration, deployment, presentation, branding, marketing, user-facing disclosures, and use in the Operator's business context.
The Operator's failure to present or comply with its own terms, notices, or disclosures does not make Scroll responsible for the agent, its content, its claims, or its deployment.
Scroll may enforce these terms directly and may suspend your access for violations, as a direct party to this agreement.
1.4 Who to Contact
For questions about the agent's content or behaviour, support requests, or data-related requests (including access or deletion): contact the Operator directly. The Operator may have its own support, complaint, or legal-contact channels for issues relating to the specific agent.
For legal notices or intellectual property requests directed at Scroll: contact legal@scroll.ai.
Scroll does not provide direct end-user support for agents deployed by Operators.
2. Acceptable Use
2.1 What You May Not Do
You must not use the agent for any purpose that is unlawful, harmful, or abusive.
You must not attempt to manipulate, jailbreak, or reverse-engineer the agent or the platform underlying it.
You must not use the agent to harass, deceive, or cause harm to any person.
You must not attempt to extract confidential information about the Operator's knowledge base or Scroll's systems.
You must not use the agent to generate spam, disinformation, or content that violates applicable law.
2.2 Consequences of Misuse
The Operator or Scroll may suspend or revoke your access at any time for violations of these terms.
Scroll may report illegal activity to the relevant authorities.
3. AI Outputs
3.1 What AI Outputs Are
The agent produces responses using AI. Outputs are probabilistic — they may be inaccurate, incomplete, outdated, or inappropriate.
Agent outputs are AI-generated and may require independent verification before being relied upon for consequential decisions.
You must exercise your own judgement before acting on anything the agent tells you.
3.2 No Guarantee of Accuracy
Neither the Operator nor Scroll warrants that outputs are correct, current, or fit for any particular purpose.
The agent may produce similar or identical responses for different users.
The Operator is responsible for the quality and appropriateness of the knowledge base that powers the agent. Scroll is not.
4. Data & Privacy
4.1 How Your Data Is Handled
The Operator's privacy notice governs how the Operator collects and handles your data in connection with the agent. You should review it before using the agent.
Where Scroll processes data on behalf of the Operator, that processing is governed by the agreement between Scroll and the Operator (including any applicable data processing agreement), not by these End-User Terms.
Where Scroll processes your data in its own capacity — for example to maintain platform security or to improve the platform using aggregated, anonymised data that cannot be traced back to you — the Scroll Privacy Policy applies.
4.2 What You Submit
Anything you type or share in the agent is processed to generate a response and may be stored by the Operator.
The Operator may review your queries in anonymised form through their usage analytics. Refer to the Operator's privacy policy for details on how they handle this data.
You should limit the information you share with the agent to what is appropriate under the Operator's terms of service and privacy policy.
5. Intellectual Property
5.1 Who Owns What
The agent, its knowledge base, and its configuration belong to the Operator.
The underlying platform technology belongs to Scroll.
You do not acquire any rights to either by using the agent.
5.2 Your Inputs & Outputs
You retain ownership of what you type into the agent. By submitting inputs, you grant the Operator and Scroll a licence to process them to provide the Service.
6. Legal Protections
6.1 Disclaimers
The agent is provided "as is" and "as available". Neither Scroll nor the Operator makes any warranties about it.
Neither Scroll nor the Operator warrants that the agent will be accurate, available, or fit for any particular purpose.
6.2 Limitation of Liability
Scroll provides the underlying platform only and, to the fullest extent permitted by law, is not liable for the Operator's agent, its content, behaviour, claims, or deployment.
Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence, or anything else that cannot be excluded under applicable law.
7. Term & Termination
7.1 Duration
These terms apply each time you use a Scroll-powered agent.
The Operator may restrict or revoke your access to their agent at any time for any reason.
Scroll may suspend your access across all Scroll-powered agents if you breach these terms.
7.2 Effect of Termination
On termination, your right to use the agent ends.
Data retention after termination is governed by the Operator's privacy policy and the Scroll Privacy Policy.
8. General
8.1 Governing Law
These terms are governed by the laws of England and Wales.
The courts of England and Wales have jurisdiction over any disputes with Scroll.
Nothing in these terms affects any rights you may have under applicable law.
8.2 Amendments
Scroll may update these terms at any time. The Operator will be notified of material changes, and the updated version will be posted at the address where these terms are published. Continued use of any Scroll-powered agent after the update takes effect constitutes acceptance of the revised terms.
8.3 Severability
If any provision is found to be invalid or unenforceable, the remainder of these terms continues in full effect.
